1. Acceptance of These Terms
These Terms of Use govern your access to and use of agencyna.net and the agent portal operated by Agency NA LLC ("we", "us", "our"), a real estate brokerage licensed in Georgia and California. By using this site or creating an account, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the site.
2. Relationship to the Independent Contractor Agreement
These Terms govern use of the website only. The brokerage relationship between an agent and Agency NA LLC — including commission splits, fees, duties, and termination — is governed by the Independent Contractor Agreement ("ICA") and any other agreements signed through the portal. If these Terms conflict with the ICA, the ICA controls for brokerage matters.
3. Eligibility and Accounts
- Agent accounts are intended for real estate licensees in good standing in Georgia or California, or applicants pursuing licensure.
- You must provide accurate, current information during registration and keep it updated, including your license status.
- You are responsible for safeguarding your password and for all activity under your account. Notify us immediately of any unauthorized use.
- Account activation is subject to broker review and approval. We may refuse, suspend, or terminate accounts at our discretion, subject to the ICA where applicable.
4. Fees and Payments
Sign-up fees, membership dues, transaction fees, and other charges are displayed on the site and in your plan selection at the time of onboarding, and may be updated from time to time. Payments are processed by Stripe or PayPal under their respective terms. Fees paid are non-refundable except where required by law or expressly stated otherwise.
5. Commission Estimates
Commission breakdowns, split previews, and cap calculations displayed in the portal are estimates for convenience only. Final amounts are determined at closing and settlement in accordance with the ICA and applicable closing documents. We are not liable for reliance on estimated figures.
6. Acceptable Use
You agree not to: (a) use the site for any unlawful purpose; (b) attempt to access accounts or data that are not yours; (c) upload malicious code, scrape the site, or interfere with its operation; (d) submit false or misleading information, documents, or transactions; or (e) use automated means to submit forms. We log IP activity and may block access for abuse.
7. Electronic Signatures and Records
By signing documents through the portal (typing your name and confirming), you consent to conduct business electronically and agree that your electronic signature has the same legal effect as a handwritten signature under the federal E-SIGN Act and applicable state law. You may request paper copies of signed documents by contacting us.
8. Content and Intellectual Property
Site content — including plan descriptions, educational materials, checklists, and manuals — is owned by or licensed to us and is provided for use by our agents in their brokerage activities. It may not be republished or redistributed without permission. Educational content is general information, not legal, tax, or accounting advice; consult a qualified professional for advice on your situation.
9. Third-Party Services
The site links to and integrates third-party services (Stripe, PayPal, Google reCAPTCHA, licensing authority websites, MLS platforms). We are not responsible for third-party services, and your use of them is subject to their own terms and policies.
10. Disclaimers and Limitation of Liability
The site is provided "as is" and "as available" without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement. To the maximum extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages arising from use of the site. Nothing in these Terms limits liability that cannot be limited by law, or modifies duties we owe under real estate licensing law or the ICA.
11. Termination
We may suspend or terminate site access for violation of these Terms. Termination of the brokerage relationship is governed by the ICA. Provisions that by their nature should survive (including Sections 5, 8, 10, and 12) survive termination.
12. Governing Law
These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law rules. Venue for disputes arising from website use lies in the state or federal courts located in Georgia, except as otherwise required by law for California licensees or provided in the ICA.
13. Changes
We may revise these Terms from time to time. The "Last updated" date above reflects the latest revision. Continued use of the site after changes take effect constitutes acceptance of the revised Terms.
